November 3, 2026. Swiss pharmaceutical contract manufacturer Lonza has signed an agreement to acquire five U.S. development and manufacturing sites from Germany’s Merck KGaA, a transaction that would expand Lonza’s American site network from four to nine. The deal has been announced but has not yet closed; completion is expected around mid-2027, subject to customary conditions.

What is being acquired?

The facilities add specialized capabilities in bioconjugation and antibody-drug conjugate production, high-potency payload-linkers, viral vectors used in cell and gene therapies, and advanced drug-delivery technologies. Approximately 1,100 employees are expected to transfer with the businesses. Lonza says the acquisition’s total enterprise valuation is in the low- to mid-triple-digit millions of Swiss francs, rather than disclosing a single precise purchase price.

Why the U.S. footprint matters

Manufacturing complex biological therapies involves more than laboratory discovery: drug developers need specialized processes, regulatory controls and reliable commercial-scale capacity. Adding established U.S. sites could allow Lonza to offer customers a broader range of services within one network. But a larger footprint does not automatically guarantee higher utilization, margins or new customer contracts. Integrating the acquired operations and retaining specialist staff will matter to the eventual financial result.

What it means for Merck

For Merck KGaA, the sale fits a strategy of concentrating its life-science portfolio. The parties say the businesses will continue to operate independently until closing. That distinction matters for employees and customers: the announcement is an agreement to transfer the assets, not evidence that ownership has already changed.

What to watch next

Investors and pharmaceutical customers should watch the transaction’s regulatory and closing milestones, employee integration, site utilization and any subsequent changes to capacity or service offerings. Lonza says its existing 2026 financial outlook remains unchanged by the announcement.
