**November 2, 2026 —** Marvell Technology and Lumentum have agreed to combine in
an all-stock transaction with an **implied enterprise value of about $115 billion**
for Lumentum. The headline figure includes debt and should not be confused with
the value of shares changing hands. The agreement is signed, but the acquisition
has **not closed** and still requires shareholder and regulatory approvals.

The deal is a wager on a constraint that becomes harder to ignore as artificial-
intelligence data centers expand: moving information between processors quickly
and efficiently. Adding more AI chips is useful only if their connections can keep
up. That is why Marvell’s semiconductor and networking portfolio and Lumentum’s
optical components could become more valuable together — if the companies can integrate
them and win customer orders.

## What the companies actually agreed

Under the announced terms, each Lumentum share would be exchanged for **4.5 Marvell
shares**. The companies put the implied consideration at roughly **$1,132 per Lumentum
share**, a **23.9% premium** to their unaffected October 28 closing-price comparison.
Existing Marvell shareholders are expected to own about **67%** of the combined
company, with Lumentum shareholders owning approximately **33%**, on a fully diluted
basis.

Both boards approved the transaction. The companies expect completion in the **first
half of 2028**, subject to the required approvals and closing conditions. The fixed
share-exchange ratio means the market value of the consideration can change as Marvell’s
stock price moves; the $115 billion figure is not a guaranteed cash payout.

## Why optics matter to AI

Traditional electrical connections remain central to computing, but moving enormous
volumes of data over longer distances can consume significant power and create bottlenecks.
Optical systems use light to transport signals, offering a different path to higher
bandwidth and energy efficiency. Lumentum contributes lasers, optical transceivers,
optical circuit switching and specialist manufacturing; Marvell contributes custom
chips, switching, interconnect technology and semiconductor design.

The industrial logic is not simply to own more parts. The companies argue that closer
co-design of chips, optical devices and packaging can reduce integration complexity
for large data-center customers. That proposition still needs to be tested through
product execution, pricing, manufacturing yields and customer adoption.

## A $550 billion opportunity is a forecast, not revenue

Marvell and Lumentum estimate that the combination would expand their **total addressable
market to $550 billion** and offer a path to **more than $1 billion in annual run-
rate cost synergies**. Both figures are management projections, not realized sales
or savings. They depend on future market demand and successful integration.

There are meaningful risks. Competition in AI networking and photonics is intense;
specialized manufacturing capacity can be difficult to expand; and regulatory scrutiny
may extend across multiple jurisdictions. An all-stock transaction of this size
also exposes shareholders to market volatility and dilution. Investors appeared
cautious after the announcement, according to Reuters, despite the strategic rationale.

## What to watch next

The next milestones are the merger filings and shareholder votes, regulatory review,
and evidence that the combined product roadmap translates into orders rather than
only a larger theoretical market. The most useful measures will be sustained revenue
growth, gross margins, delivery timelines, and whether promised savings materialize
after closing.

**Bottom line:** The deal signals how essential connectivity has become to AI infrastructure.
It does not establish that the merger will close, that the full projected market
will be captured, or that every promised efficiency will be achieved.
