**October 29, 2026 —** Home-security company ADT has agreed to be acquired by Thrive
Holdings in a transaction that puts two very different numbers on the same deal:
approximately **$7.6 billion for shareholders** and **$15.3 billion including debt**.
The distinction matters as much as the buyer’s plan to apply more technology to
a business built around monitoring homes and responding to alarms.

## What ADT shareholders would receive

Under the definitive agreement announced Thursday, shareholders would receive **
$10 per share in cash** if the transaction closes. ADT says that represents a **
45.6% premium** to its unaffected October 27 closing price of $6.87, and a 52.1%
premium to the 30-day volume-weighted average price through that date. The board
approved the transaction unanimously. The $7.6 billion figure is the estimated equity
purchase price; the larger $15.3 billion enterprise value also accounts for the
company’s financing structure. Confusing the two would overstate the cash being
paid directly to shareholders.

## Why an AI-focused holding company wants a security network

Thrive Holdings says it wants to combine ADT’s installed customer relationships
and nationwide field-service network with its engineering resources and patient
capital. That is a strategic proposition, not evidence that any particular AI-powered
security improvement has already been delivered. Potential uses include better triage
of false alarms, equipment diagnostics and customer support, but those benefits
will depend on implementation, reliability and customer trust.

ADT’s business operates where automated decisions have tangible consequences. A
false positive can summon an unnecessary response; a missed signal can leave a real
emergency undetected. Any technological upgrade will therefore have to balance efficiency
with careful human oversight, privacy and service quality. In the companies’ announcement,
Thrive says ADT’s existing privacy and data policies will remain in place and that
new data sharing will require customer permission. Those are commitments to monitor
after a transaction, rather than independently demonstrated outcomes.

## Why the deal is not complete

The companies expect closing in the **first quarter of 2027**, subject to shareholder
approval, U.S. antitrust clearance and other customary conditions. ADT can solicit
alternative proposals during a 30-day _go-shop_ period ending November 28, potentially
extended for qualifying bidders. The agreement is not subject to a financing condition;
financing commitments come from funds managed by affiliates of Apollo Global Management.
Until closing, ADT will operate independently. If completed, its shares would stop
trading on the New York Stock Exchange.

That leaves three separate questions for investors and customers: whether a competing
bid emerges, whether regulators clear the transaction on the expected timetable,
and whether promised investment eventually translates into better service without
eroding trust. The announced valuation answers none of those questions by itself.

## What happens next

ADT has said its third-quarter results are scheduled for November 3, 2026. The planned
earnings release may provide a more immediate view of the company’s operating performance,
while merger filings and the eventual shareholder vote will determine the transaction’s
path. For now, the accurate headline is an **agreed acquisition, not a completed
takeover**.
